FUNCTION TITLE:

Brazil Legal Director based in Rio de Janeiro

SUMMARY:

Responsible for leading Corporate strategic and tactical legal initiatives for the group in Brazil, providing effective advice on Company strategies and their implementation, managing the legal function in Brazil and instructing and overseeing the work of outside counsel. The Legal Director is directly involved in complex business transactions in negotiating critical contracts. All the responsibilities should be developed following guidelines established by The global Headquarters in Germany, for the fulfillment of the Company's Code of Business Conduct and other policies.

MAIN TASKS:

  1. Provide effective advice on Company strategies and their implementation, giving continuing counsel and guidance on legal matters and on legal implications of all matters;

  2. Participate in the definition and development of Corporate Policies, Procedures and Programs, acting as legal advisor;

  3. Serve as key lawyer on all major business transactions, including acquisitions, divestitures and joint ventures and drafting and negotiating commercial contracts;

  4. Judge the merits of court cases or other litigation-types filed against or on behalf of the Company, works with the appropriate Executives to define a strategic defense and approves settlements of disputes where warranted;

  5. Assume ultimate responsibility for ensuring that the Company conducts its business in compliance with applicable laws and regulations and according to the Company Code of Business Conduct and other relevant policies;

  6. Structure and manage the Company's internal Legal Department and Staff, acquiring, developing, motivating and retaining key-professionals;

  7. Oversee the selection, retention, management and evaluation of all outside counsel;

  8. Advise on legal aspects of the Company on the subjects of Financing, Corporate Law, Labor Relations, Litigation, Tax and Criminal Issues, including assessing and advising on current and future business structures and legal entities;

  9. Ensure good Corporate image of the Company, maintaining good relationships with the Stakeholders;

  10. Report to functionally to the Head of Legal of LatAm, with a dotted line to the Brazil General Manager, concerning all the Company's (Legal) Risks and Issues pertaining to the Brazilian Subsidiary and the business in Brazil.

REQUIRED EDUCATION

  • Law degree, admitted to OAB;

  • Preferred Master's degree or equivalent;

  • Ten years related experience, preferably with a top law-firm and in-house with a global company

  • Healthcare experience is an advantage.

  • Excellent written and spoken local language and English is mandatory
